Tosoh Converts NPU to Wholly Owned Subsidiary through Share Acquisition

Tokyo, Japan—At a board of directors meeting on July 13, Tosoh Corporation decided to acquire the remaining shares of its subsidiary Nippon Polyurethane Industry Co., Ltd. (NPU) from Hodogaya Chemical Co., Ltd., and to convert NPU to a wholly owned subsidiary.

Tosoh made NPU a subsidiary in April 2006 and then upped its stake in NPU to 80.28% in May of 2008. The companies collaborate to increase the competitiveness of the Tosoh Group’s core operations, its vinyl isocyanate chain.

However, the urgency for NPU to recover profitability is a major theme and Tosoh believes that an integrated management and streamlined operations are necessary, hence the decision to acquire the remaining stock and Tosoh is glad to report it has reached a stock purchase agreement with the other shareholder.
